The public website may be used for legitimate business research. Paid databases are licensed, not sold. Account sharing, scraping, bulk extraction, resale, competing databases and unapproved AI/model training are prohibited.
1. Scope and acceptance
These Terms govern use of tpatlas.com, public content, account areas, One Search services and related TPAtlas services. By using the website or creating an account, you agree to these Terms. If you act for an organisation, you confirm that you are authorised to bind or act for it.
2. Order of precedence
A signed Order Form, proposal or enterprise agreement may contain service-specific terms. Where an express conflict exists, the signed commercial document prevails, followed by the Database Licence, these Terms and then any website guidance.
3. Website licence
TPAtlas grants a limited, revocable, non-exclusive and non-transferable right to access the public website for lawful business and professional purposes. No ownership rights are transferred.
4. Accounts and credentials
Account information must be accurate. Credentials are personal to the authorised user and may not be shared, pooled or transferred. You are responsible for activity under your account and should promptly report suspected unauthorised access.
5. Acceptable use
You may use TPAtlas only for legitimate transfer pricing, tax, legal, accounting, valuation and related professional work within the scope of your subscription.
6. Prohibited use
- scraping, crawling, automated harvesting or bulk extraction outside approved tools;
- resale, sublicensing, public republication or creation of a substitute or competing database;
- circumventing access controls, export limits or security measures;
- reverse engineering the platform, data model, search logic or software;
- using TPAtlas content to train, fine-tune, benchmark, populate or improve a competing database, AI, machine-learning, language-model or retrieval system without written permission;
- uploading malware, interfering with the service, or using the service unlawfully.
7. Fees, subscriptions and paid services
Prices, billing periods, taxes, renewal status, cancellation and refund rules are stated at checkout, in the applicable Order Form or in the Payment & Billing Terms. Paid database access is licensed for the subscription period and is not a sale of the underlying data.
8. Intellectual property
TPAtlas owns the platform, website, branding, software, database structure, taxonomy, selection and arrangement of content, proprietary calculations and TPAtlas-created materials. Third-party source data and documents remain subject to the rights of their respective owners and licensors.
9. Third-party data and links
TPAtlas may contain or organise information from public, licensed and other permitted external sources. Source-specific rights and restrictions remain applicable and may limit display, export, redistribution, retention or downstream use. See Data Sources & Reliability and the Public-Source Data Notice.
10. Service availability
TPAtlas may maintain, update, suspend or change features, datasets and coverage. No specific uptime or uninterrupted availability is promised unless stated in a separate service-level agreement.
11. Professional use
TPAtlas provides data and research tools. It does not provide tax, legal, accounting, investment or regulatory advice and does not determine an arm's-length result. Users remain responsible for professional judgement and compliance.
12. Suspension and termination
TPAtlas may suspend or terminate access for non-payment, credential sharing, security risk, unlawful use or material breach. Where practical, TPAtlas will give notice and an opportunity to cure a remediable breach.
13. Disclaimers
To the extent permitted by law, the website and services are provided on an “as available” basis. TPAtlas does not warrant that external data is complete, current, error-free, uninterrupted or suitable for a particular transaction. Users must review material source documents and exercise professional judgement. The Data & TP Disclaimer and Data Sources & Reliability form part of these Terms.
14. Limitation of liability
To the extent permitted by law, TPAtlas is not liable for indirect, special, incidental or consequential loss, loss of profit, revenue, goodwill or business opportunity arising from the services. For a paid service, TPAtlas's aggregate contractual liability will not exceed the fees paid for the affected service during the 12 months preceding the event giving rise to the claim, unless the applicable Order Form states otherwise or law prohibits that limit.
15. Indemnity
You will be responsible for third-party claims arising from your unlawful use of TPAtlas, breach of these Terms or misuse of licensed content, to the extent permitted by law.
16. Sanctions and export controls
You must not use TPAtlas in breach of applicable sanctions, export-control or trade-restriction laws.
17. Force majeure
TPAtlas is not responsible for delay or failure caused by events beyond its reasonable control, including telecommunications failure, cyber incidents, natural events, government action or material failure of third-party infrastructure.
18. Changes and notices
TPAtlas may update these Terms. Material changes affecting paid users will be communicated through the platform, account email or other reasonable notice. The current version date appears above.
19. Governing law
For paid services, governing law and dispute forum are those stated in the applicable Order Form or subscription agreement. Where no signed commercial document applies, mandatory law and the courts having jurisdiction over the TPAtlas owner/operator will apply.
