Your subscription gives authorised users a limited right to use the selected TPAtlas datasets for professional work. Reasonable extracts may be used in client reports and tax-authority submissions. Raw data may not be redistributed or used to build another database.
1. Licence grant
Subject to payment and the applicable Order Form, TPAtlas grants each authorised user a limited, revocable, non-exclusive, non-transferable right to access and use the subscribed datasets during the subscription term for internal professional research and permitted client work.
2. Authorised users
Access is limited to the organisation, users, business unit and locations covered by the subscription. Each user must use an individual account unless the Order Form expressly permits another arrangement.
3. Permitted professional use
Licensed data may be used for transfer pricing, tax, legal, accounting, valuation and related analysis. Users may create calculations, screening records, benchmarking analyses and working papers from the licensed data.
4. Client deliverables
Advisory subscribers may include reasonable extracts and selected comparable information in a deliverable prepared for a named client, provided that the deliverable does not reproduce a material portion of a TPAtlas dataset or enable the recipient to reconstruct, reuse or redistribute the database. Raw bulk exports may not be provided to a client unless separately licensed.
5. Tax-authority and regulatory submissions
Reasonable extracts may be included in submissions to tax authorities, courts, regulators or other governmental bodies where necessary to support the relevant analysis, subject to source-specific restrictions and applicable law.
6. Source documents
Where source documents are available, access may be limited by third-party rights, public-source terms or subscriber entitlements. Downloading a source document does not transfer copyright or broader publication rights.
7. Exports and usage controls
TPAtlas may apply reasonable technical limits to downloads, exports, API calls or record retrieval to protect licensed content, service stability and third-party rights. Any limits in the Order Form or plan description form part of the licence.
8. Prohibited uses
- credential sharing or access by unlicensed users;
- bulk copying or extraction beyond approved functionality;
- resale, rental, sublicensing or standalone redistribution of data;
- creation, enrichment or maintenance of a competing or substitute database;
- systematic republication on websites, shared drives, data rooms or third-party platforms;
- use of TPAtlas content to train, fine-tune, benchmark, populate or improve a competing AI, machine-learning, language-model, vector, retrieval or data product without written permission;
- removal of proprietary notices or source restrictions;
- circumvention of download limits or technical controls.
9. Internal AI and research tools
Use of licensed data in an organisation's internal tools is permitted only where the data remains within the licensed organisation, is not used to train a generally reusable or competing model, and is not exposed to unlicensed users. Enterprise or API use may require additional terms.
10. One Search
One Search is a research service based on criteria supplied or agreed with the customer. TPAtlas does not guarantee that suitable comparables will be identified. Search results, source material and extracts are licensed for the named project on the same principles as this Licence. Fees are non-refundable once substantive research has started unless otherwise agreed.
11. Third-party restrictions
Some records, documents, identifiers and fields originate from third-party sources or licensors. The subscriber receives only the rights that TPAtlas is permitted to pass through for the applicable plan. A TPAtlas subscription does not override source copyright, database rights, contractual restrictions, attribution requirements or other third-party rights. TPAtlas may restrict export, display or continued availability where required by a source licence or rights holder. See Data Sources & Reliability.
12. Monitoring and misuse
TPAtlas may use reasonable security and usage logs to enforce account limits, investigate suspected misuse and protect the service. Monitoring will be handled in accordance with the Privacy Notice.
13. Expiry and retained work
Platform access ends when the subscription ends. Users may retain completed client reports and internal working papers created during the subscription, subject to confidentiality, source restrictions and the prohibition on retaining bulk data for ongoing database use.
14. Ownership
TPAtlas retains all rights in the platform, database compilation, proprietary fields, taxonomies, classifications and TPAtlas-created content. No ownership interest passes to the subscriber.
15. Liability and suspension
The warranty, liability, suspension and termination provisions in the Terms of Use and applicable Order Form apply to this Licence.
